Companies House Updates: IRIS Company Secretarial / Company Formations

As the largest third-party software supplier of electronically submitted documents to Companies House, with a range of different accounts formats and Companies House forms that all can be sent electronically from within the Software, IRIS is continually in contact with Companies House.

This is not only to ensure we keep your software compliant with legislative updates but also to keep you ahead of the ever-evolving technology curve.  In our discussions, this month Companies House has raised two topics.

Company Incorporation – Missing Registrable Person with Significant Control (PSC)

During the Incorporation of a new Company Limited by Shares, Companies House has noticed a general trend across third party providers that on certain occasions when the company being formed only has one shareholder, there was no corresponding PSC being registered at the same time. 

We are working with Companies House to understand the timelines for any electronic verifying of this information. But we recommend when using IRIS Company Formation, where appropriate, to use the Formation Wizard in particular step 3 to complete any disclosure needed for the PSC.

Same Day Incorporations and Name Changes

In the early part of last year due to Covid, Companies House ceased the ability to incorporate new companies and separately change the entity name as a same day service.

Thankfully, as Covid restrictions have lifted earlier this year, Companies House was able to resume this service and we have received recent notification that from Thursday 19 August 2021, the cut off time for this will be extending from 11am to 3pm, giving you more time to benefit from this service. 

Name change registrations can be fast tracked via your IRIS Company Secretarial software. Same day Incorporation applications can be completed via your IRIS Company Formations software.
